1. Acceptance of Terms

By accessing or using this website (ellacreative.studio) or engaging Ella Creative Studio for services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use this site or engage our services.

2. Services

Ella Creative Studio ("Studio," "we," "us") provides branding and web design services including, but not limited to, brand strategy, visual identity, website design, collateral design, and consulting retainers. All projects are custom-scoped and confirmed via a signed proposal and deposit.

3. Engagement & Payment

  • A 50% non-refundable deposit is required before any work begins. The remaining balance is due upon project completion and prior to final file delivery.

  • Accepted payment methods: Zelle, ACH, and check.

  • Invoices unpaid past 7 days of the due date may result in work pausing until payment is received.

  • Quoted pricing is valid for 30 days from the date of the proposal.

4. Project Scope & Changes

Work is performed based on the agreed-upon scope in your project proposal. Changes outside that scope — including additional revisions, new deliverables, or expanded direction — will be quoted separately and require written approval before proceeding.

5. Client Responsibilities

You agree to provide timely feedback, accurate content, and all necessary materials (copy, images, logins, etc.) within the agreed project timeline. Delays caused by client-side inaction may result in project timeline extensions or additional fees.

6. Intellectual Property & Ownership

Upon receipt of final payment in full, you own the final deliverables created specifically for your project. Ella Creative Studio retains the right to display completed work in our portfolio, on social media, and in marketing materials unless otherwise agreed to in writing.

Preliminary concepts, unused designs, and working files remain the property of Ella Creative Studio unless explicitly included in the project scope.

7. Use of Artificial Intelligence

Ella Creative Studio may use AI-powered tools as part of our creative and strategic process — including for ideation, research, copywriting support, and workflow efficiency. All AI-assisted work is reviewed, refined, and directed by our team. Final deliverables reflect our professional judgment and creative direction.

We do not use AI to generate final client-facing work without human review and approval. By engaging our services, you acknowledge and accept this use of AI tools.

8. Confidentiality

Both parties agree to keep confidential any proprietary business information shared during the project. This includes business strategy, financials, unreleased brand work, and client lists. This obligation survives the end of the engagement.

9. Subcontractors

Ella Creative Studio may engage vetted subcontractors to assist with project execution. All subcontractors are bound by confidentiality obligations, and Ella Creative Studio remains the primary point of contact and responsible party throughout the engagement.

10. Limitation of Liability

Ella Creative Studio is not liable for indirect, incidental, or consequential damages arising from the use of our services or deliverables. Our total liability in connection with any project shall not exceed the total fees paid by the client for that project.

11. No Guarantee of Results

We bring expertise, strategy, and creative execution to every engagement. However, we cannot guarantee specific business outcomes, revenue growth, website traffic, or other performance results from our work.

12. Cancellation & Termination

Either party may terminate a project with written notice. If the client terminates, the deposit is non-refundable and any work completed beyond the deposit value will be billed at the prorated project rate. If Ella Creative Studio terminates, we will refund any portion of fees not yet earned.

13. Website Use

This website is for informational purposes only. You may not reproduce, distribute, or use any content from this site without written permission. We reserve the right to update or remove site content at any time without notice.

14. Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Travis County, Texas.

15. Updates to These Terms

We may update these Terms from time to time. Continued use of this website or engagement of our services after changes are posted constitutes acceptance of the revised Terms.
